Terms of Service

Please read these Terms of Service carefully before using IEP Desk. By creating an account or accessing any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and IEP Desk ("IEP Desk," "we," "our," or "us") governing your access to and use of the IEP Desk website at iepdesk.com and the web application at app.iepdesk.com (collectively, the "Service").

By registering for an account, clicking "I agree," or using the Service in any way, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws.

2. Description of Service

IEP Desk is a productivity and organizational tool designed to help parents and guardians of children with Individualized Education Programs (IEPs) manage their child's special education process. The Service includes, without limitation:

  • Secure storage and organization of IEP documents and related information.
  • AI-assisted analysis of uploaded IEP documents.
  • A legal rights information module explaining parent rights under the Individuals with Disabilities Education Act (IDEA) and related federal law.
  • An AI Legal Assistant that answers questions about special education law.
  • Document and letter generation tools.
  • Progress tracking, calendar, diary, and meeting preparation features.
  • For advocate accounts, practice management tools including a client and prospect CRM, an agenda with public booking, time and fee tracking, analytics, and in-app messaging with the families they support.

Nothing on IEP Desk constitutes legal advice, creates an attorney-client relationship, or should be relied upon as a substitute for consultation with a qualified special education attorney or advocate. Information provided by the AI Legal Assistant is based on general federal law and may not reflect state-specific regulations or the specific facts of your situation.

3. Account Registration and Security

To access the application at app.iepdesk.com, you must register for an account using a valid email address and create a password. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your password and be responsible for all activity that occurs under your account.
  • Notify us immediately if you suspect unauthorized access to your account, using the contact information in Section 17.
  • Not share your account credentials with any other person.

IEP Desk reserves the right to suspend or terminate accounts where we have reason to believe that account credentials have been compromised or that the Terms are being violated.

4. Subscription, Payment and Access

The Service is currently in a beta period and is free to use, for both parent and advocate accounts. No payment is required and no payment details are collected.

When the beta period ends, access may be tied to membership of a third-party community platform. In that case you would pay that platform for membership, access to IEP Desk would be one of the benefits included, and you would agree to that platform's terms in addition to these Terms. We will give notice before any such change takes effect.

Where access depends on membership of a third-party platform, IEP Desk uses an automated system to verify that membership. Access would be granted automatically upon confirmation and deactivated automatically upon cancellation or expiry. IEP Desk is not responsible for errors caused by delays in that verification system.

We reserve the right to modify, suspend or discontinue the beta period or any trial offer at any time, with reasonable notice to active users.

Any membership or subscription fees would be collected and managed entirely by the third-party platform. IEP Desk does not process payments and does not hold payment card data. Refund requests would be subject to that platform's refund policy.

5. Acceptable Use

You agree to use the Service only for its intended purpose — for parents, to manage their own child's IEP process; for advocates, to support the families who engage them — and in compliance with all applicable laws. You agree not to:

  • As a parent account holder, use the Service in relation to any child who is not your own child or a child for whom you are the legal guardian.
  • As an advocate account holder, enter or store information about a child without the authorization of that child's parent or legal guardian, or access a family's information beyond what that family has chosen to share with you.
  • Upload documents or content that you do not have the legal right to share.
  • Attempt to reverse-engineer, decompile, or extract the source code of the application.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use automated tools (bots, scrapers, crawlers) to access the Service.
  • Use the Service to harass, threaten, or harm any person or entity.
  • Violate any applicable local, state, national, or international law or regulation.
  • Upload malicious code, viruses, or any material that could harm the Service or other users.

IEP Desk reserves the right to suspend or terminate access to any user who violates these restrictions, without prior notice and without liability.

6. Advocate Accounts

IEP Desk offers a separate account type for professional IEP advocates. If you register as an advocate, the following additional terms apply to you.

Your relationship with families is your own. Any agreement between you and a family you support — including the scope of your services, your fees and your professional obligations — is strictly between you and that family. IEP Desk provides software. It is not a party to that relationship, does not supervise or endorse any advocate, and is not responsible for the advice, conduct or outcomes of any advocate using the Service.

Access to a family's own account. Where a family has its own IEP Desk account and invites you, you may access only the modules that family has chosen to share. Within those modules you may view the shared information and upload documents on the family's behalf — such as an IEP, an amendment or a report — which are recorded as uploaded by you; you may edit or delete only the documents you uploaded, and never the family's own documents. The parent decides which modules you can access and may revoke that access at any time. You agree not to attempt to access anything beyond what has been shared with you, and not to copy, export or disclose a family's information except as that family has authorized or the law requires.

Managing a child on a family's behalf. The Service also lets you manage a child directly on behalf of a family — including creating the child's record, uploading their IEP and evaluations, and using the full case-management and practice tools — including for families who do not have their own account. Where you do this, you are responsible for that information, and you must confirm, at the time you create the record, that you have the authorization of the child's parent or legal guardian to hold and process the child's data. By proceeding, you represent that you hold that authorization, and you agree to comply with the professional, contractual and legal obligations that apply to your practice, including any applicable confidentiality and data-protection requirements. IEP Desk provides the tool and does not verify, supervise or take responsibility for the authorization you attest to.

Transferring a child's record to a family. Where a family you have been managing later creates its own account, you may transfer the child's record to them. On transfer, ownership of the record and all associated data passes to the parent or legal guardian, and your continued access is thereafter governed by the access rules above, on the same basis as any other invited advocate.

Fees and billing records. Any rates, hours or amounts you record in the Service are for your own bookkeeping. IEP Desk does not invoice your clients, does not collect payments on your behalf, and takes no part in any fee arrangement between you and a family.

You agree to indemnify IEP Desk in respect of any claim arising from your use of the Service in your professional practice, including any claim brought by a family you support.

7. AI Features — Specific Terms and Disclaimers

The Service includes AI-powered features, including IEP document analysis and the AI Legal Assistant. By using these features, you acknowledge and agree that:

  • AI-generated outputs are provided for informational and organizational purposes only and do not constitute legal advice.
  • AI outputs may be incomplete, inaccurate, or not applicable to your specific jurisdiction or situation. You should verify any AI-generated information independently.
  • The AI Legal Assistant's responses are based on general federal special education law (primarily IDEA and Section 504) and may not account for state-specific regulations, recent legislative changes, or the specific facts of your child's situation.
  • Documents and letters generated by the AI are templates and starting points. You are responsible for reviewing, modifying, and verifying all generated documents before using them in any official capacity.
  • IEP Desk is not responsible for any outcome resulting from reliance on AI-generated content.

8. User Content

You retain full ownership of all documents, data, and content you upload or enter into the Service ("User Content"). By uploading User Content, you grant IEP Desk a limited, non-exclusive license to process and store that content solely for the purpose of providing the Service to you.

You represent and warrant that: (a) you own or have the right to upload all User Content; (b) where User Content concerns a child for whom you do not hold parental responsibility — for example, where you are an advocate acting for a family — you have the authorization of the child's parent or legal guardian to upload and process it; (c) your User Content does not violate any third party's rights; and (d) your User Content does not violate any applicable laws.

IEP Desk does not claim any ownership over User Content and will not use it for any purpose beyond providing the Service, as described in our Privacy Policy.

9. Intellectual Property

The IEP Desk Service — including the website, application, software, design, text, graphics, and all other content created by IEP Desk — is protected by copyright, trademark and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any IEP Desk content without our express written permission.

The IEP Desk name and logo are proprietary marks. Nothing in these Terms grants you any right to use any IEP Desk trademarks, service marks, or trade names.

10. Third-Party Services and Links

The Service may integrate with or link to third-party services (including Supabase, Anthropic, transactional email providers, any future community or subscription platform, and external information resources). These third-party services are governed by their own terms and privacy policies. IEP Desk is not responsible for the practices, content, or availability of any third-party service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

IEP Desk does not warrant that: (a) the Service will be available at all times; (b) information provided by the Service is accurate, complete, or up to date; or (c) use of the Service will achieve any particular outcome in any IEP process, legal proceeding, or dispute.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IEP DESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF OPPORTUNITY, OR ANY OTHER INTANGIBLE LOSS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF IEP DESK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall IEP Desk's total liability to you for any claims arising from use of the Service exceed the total amount you paid to IEP Desk in the 12 months preceding the claim, or $100 USD, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless IEP Desk and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third party's rights.

14. Termination

You may terminate your account at any time by deleting your account through the application settings or by contacting us. Upon termination, your right to access the Service ceases immediately.

IEP Desk reserves the right to suspend or terminate your account, with or without notice, if you violate these Terms, if your subscription lapses, or if we determine in our sole discretion that termination is necessary to protect the Service or other users.

Upon termination, your data will be handled in accordance with the data retention provisions of our Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as part of a class action or representative proceeding.

16. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify active users by email or through a prominent in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
